Agreement to Terms

These Terms & Conditions govern access to and use of WaBuy websites, applications, dashboards, APIs, WhatsApp commerce flows and related services. By using WaBuy, creating an account, booking a demo or integrating business tools, you agree to these Terms.

Service Description

WaBuy provides software tools that help merchants manage product catalogues, WhatsApp order flows, customer addresses, UPI/payment instructions, payment verification, stock, reports and delivery status. WaBuy is not a marketplace, seller, payment bank, logistics company or legal/tax advisor.

Merchant Eligibility and Account Information

Merchants must provide accurate business information, maintain valid contact details and keep login credentials secure. WaBuy may request business documents, verification details or additional information when required for onboarding, platform review, fraud prevention or compliance.

Merchant Responsibilities

  • Sell only lawful products and services.
  • Maintain accurate pricing, stock, images, descriptions and delivery terms.
  • Fulfil orders and handle customer disputes responsibly.
  • Comply with taxes, invoicing, consumer protection, ecommerce, privacy and advertising laws.
  • Use WhatsApp, Meta, Google and other third-party platforms according to their policies.
  • Obtain customer consent where required for marketing messages.

Customer Orders and Payments

WaBuy may help merchants display payment instructions, UPI details, QR codes or payment references. Unless separately agreed, payments are made directly between customer and merchant. Merchants are responsible for verifying payment, issuing refunds, handling failed payments and resolving customer disputes.

WhatsApp and Meta Platform Compliance

Merchants must follow WhatsApp Business Messaging Policy, Meta Platform Terms, Commerce rules and template approval requirements. Merchants must not send spam, deceptive messages, prohibited content, illegal offers or messages to users without required consent. WaBuy may restrict accounts that create compliance risk.

Google and Advertising Compliance

When merchants run ads or connect tracking tools, they are responsible for accurate ad claims, lawful targeting, landing page compliance, privacy notices and avoiding prohibited content or misleading practices. WaBuy may provide software but does not guarantee ad approval, campaign results or platform verification.

Prohibited Activities

  • Fraud, phishing, impersonation or unauthorized access.
  • Uploading malware, harmful code or abusive content.
  • Sending spam, unsolicited bulk messages or misleading claims.
  • Selling prohibited, unsafe, counterfeit or illegal products.
  • Violating intellectual property or privacy rights.
  • Attempting to reverse engineer, overload, scrape or disrupt WaBuy systems.

Fees, Plans and Billing

WaBuy may offer free trials, launch offers, monthly plans, setup fees or custom pricing. Taxes may apply. Fees are generally non-refundable unless stated in a separate written agreement or required by law. Plan features, limits and pricing may change with notice.

Intellectual Property

WaBuy software, design, brand, code, documentation and platform assets belong to WaBuy/VIK Solutions or its licensors. Merchants retain ownership of their business content, product images, logos and customer data, while granting WaBuy permission to process such content for providing services.

Suspension and Termination

WaBuy may suspend or terminate access if a user violates these Terms, creates security or compliance risks, fails to pay applicable fees, misuses platform integrations or engages in unlawful activity. Users may stop using the service and request account closure as per the data deletion process.

Disclaimers and Limitation of Liability

WaBuy is provided on an “as available” and “as is” basis. We do not guarantee uninterrupted service, third-party platform approval, WhatsApp template approval, Meta verification, Google verification, specific sales, ad results or error-free operation. To the maximum extent permitted by law, WaBuy is not liable for indirect, incidental, special or consequential damages.

Governing Law and Disputes

These Terms are governed by the laws of India. Courts with appropriate jurisdiction in India will handle disputes unless a separate written agreement states otherwise.

Changes to Terms

WaBuy may update these Terms from time to time. Updated terms will be posted on this website. Continued use of WaBuy after updates means acceptance of the revised Terms.
